Please read these Terms and Conditions ("Terms") carefully before using the MyMoney® Marketplace platform. By accessing or using the platform you agree to be bound by these Terms. If you do not agree, you must not use the platform.

Acceptance of Terms

These Terms constitute a legally binding agreement between you ("User", "you") and Global Mutual Funds Pty Ltd (ABN 20 090 555 436, AFSL 222640) ("we", "us", "our", "the Company").

By creating an account, submitting a brief, responding to a brief, or otherwise using the MyMoney® Marketplace ("Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Financial Services Guide.

If you are using the Platform on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

About the Platform

MyMoney® Marketplace is a digital platform that operates a reverse marketplace model (Brief → Match → Pitch), facilitating connections between:

  • Brief Owners — individuals or businesses seeking general information about financial and professional services; and
  • Providers — verified professionals who may submit proposals in response to briefs.

The Platform is owned and operated by Global Mutual Funds Pty Ltd, which holds Australian Financial Services Licence (AFSL) number 222640.

Eligibility & Registration

To use the Platform you must:

  • Be at least 18 years of age.
  • Have the legal capacity to enter into a binding contract.
  • Provide accurate, current, and complete registration information.
  • If registering as a Provider, hold all licences, registrations, and insurance required by applicable law.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use.

We reserve the right to refuse registration, suspend, or terminate any account at our discretion, including where we reasonably suspect fraudulent, misleading, or unlawful conduct.

Scope of Services

Through the Platform we provide:

  • The ability for Brief Owners to describe the general financial or professional service they are seeking.
  • AI-enabled matching tools ("Intelligence Swarm") to connect briefs with verified Providers.
  • Tools for Providers to submit proposals in response to briefs.
  • A scoring and comparison framework ("Transparent Box™") for general informational purposes.

We act as an intermediary only. We do not provide financial product advice, nor do we act as a party to any agreement between Brief Owners and Providers. Any engagement between a Brief Owner and a Provider is a separate arrangement to which we are not a party.

All information, matching results, proposals, scores, and comparison tools provided through the Platform constitute general information only. They do not constitute personal financial product advice and do not take into account your personal objectives, financial situation, or needs.

Before making any financial decision, you should consider whether the information is appropriate for you and seek independent personal advice from a qualified professional.

User Obligations

When using the Platform, you agree that you will:

  • Use the Platform lawfully and in accordance with these Terms.
  • Provide truthful and accurate information in briefs, proposals, and registration details.
  • Not impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Not use the Platform for any fraudulent, misleading, deceptive, or unconscionable purpose.
  • Not interfere with or disrupt the Platform, its infrastructure, or other users' access.
  • Not attempt to gain unauthorised access to any part of the Platform or its systems.
  • Not use automated means (bots, scrapers, crawlers) to access or collect data from the Platform without prior written consent.
  • Not upload or transmit any malicious code, viruses, or harmful material.
  • Comply with all applicable Australian laws and regulations, including the Corporations Act 2001 (Cth), Australian Consumer Law, Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth), and the Privacy Act 1988 (Cth).

Provider Obligations

In addition to the general user obligations above, Providers agree to:

  • Maintain all licences, registrations, authorisations, and professional indemnity insurance required by applicable law for the duration of their registration.
  • Notify us immediately if any licence, registration, or insurance is suspended, cancelled, or materially varied.
  • Ensure all proposals and communications are accurate, not misleading, and comply with the Corporations Act 2001 (Cth), ASIC Regulatory Guides, and any applicable codes of conduct.
  • Clearly distinguish between general information and personal advice in all communications with Brief Owners.
  • Not make unsolicited contact with Brief Owners outside the Platform unless expressly invited.
  • Comply with all applicable ASIC requirements, including those relating to advertising and disclosure.

Intellectual Property

All intellectual property rights in the Platform — including the MyMoney® trade mark, Transparent Box™ framework, software, algorithms, design, content, and documentation — are owned by or licensed to Global Mutual Funds Pty Ltd.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose, subject to these Terms.

You must not reproduce, modify, distribute, reverse-engineer, or create derivative works from any part of the Platform without our prior written consent.

Content you submit to the Platform (briefs, proposals, profile information) remains your intellectual property. However, by submitting content you grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce, and display that content for the purpose of operating and improving the Platform.

Fees & Payments

All fees are stated in Australian dollars and are inclusive of GST unless otherwise indicated. We reserve the right to change our fees at any time upon reasonable notice.

Failure to pay applicable fees may result in suspension or termination of your account.

Limitation of Liability

To the maximum extent permitted by law:

  • The Platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, except those that cannot be excluded under Australian Consumer Law.
  • We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or harmful components.
  • We are not liable for any loss or damage arising from your use of, or inability to use, the Platform, including but not limited to any indirect, incidental, special, consequential, or punitive damages.
  • We are not liable for the acts, omissions, advice, or services of any Provider or third party accessed through the Platform.
  • Our total aggregate liability to you for all claims arising out of or in connection with these Terms or the Platform shall not exceed the greater of (a) the fees paid by you to us in the 12 months preceding the claim, or (b) AUD $100.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Competition and Consumer Act 2010 (Cth) or any other applicable law that cannot be excluded, restricted, or modified by agreement.

Indemnity

You agree to indemnify, defend, and hold harmless Global Mutual Funds Pty Ltd, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your breach of these Terms.
  • Your use of the Platform.
  • Any content you submit to the Platform.
  • Your violation of any applicable law or the rights of any third party.
  • Any engagement or transaction between you and another User or Provider.

Privacy

We collect, use, store, and disclose personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth), including the Australian Privacy Principles (APPs).

By using the Platform you consent to the collection and use of your information as described in our Privacy Policy. We take reasonable steps to protect your personal information from misuse, interference, loss, and unauthorised access.

Termination & Suspension

You may close your account at any time by contacting us. We may suspend or terminate your access to the Platform at any time, without prior notice, if:

  • You breach these Terms.
  • We are required to do so by law, a regulatory authority, or a court order.
  • We reasonably suspect fraud, misrepresentation, or unlawful conduct.
  • Your continued use may expose us, other users, or third parties to legal or regulatory risk.

Upon termination, your right to use the Platform ceases immediately. Clauses that by their nature should survive termination (including intellectual property, limitation of liability, indemnity, and governing law) will survive.

Dispute Resolution

If a dispute arises in connection with these Terms or the Platform, the parties agree to follow this process:

  • Negotiation — The parties will first attempt to resolve the dispute by good-faith negotiation within 14 days of one party notifying the other in writing.
  • Mediation — If negotiation is unsuccessful, the parties will submit the dispute to mediation administered by the Australian Disputes Centre (ADC) in Sydney, NSW, before commencing any legal proceedings.
  • Court proceedings — If the dispute is not resolved within 30 days of the mediation commencing, either party may commence legal proceedings.

Nothing in this clause prevents a party from seeking urgent injunctive or interlocutory relief from a court of competent jurisdiction.

Changes to These Terms

We may amend these Terms from time to time. Material changes will be notified to you via email or a prominent notice on the Platform at least 30 days before they take effect.

Your continued use of the Platform after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and close your account.

Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. You irrevocably submit to the non-exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia.

General Provisions

  • Entire agreement: These Terms, together with the Privacy Policy and Financial Services Guide, constitute the entire agreement between you and us regarding the Platform and supersede all prior communications and proposals.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: A failure by us to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force majeure: We are not liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including natural disasters, pandemics, government actions, telecommunications failures, or cyberattacks.
  • Notices: Notices to you may be given by email to the address associated with your account. Notices to us must be sent to the address set out in the Contact section below.
